1. Introduction 

These Terms and Conditions (“Terms”) govern access to and use of Seyo, an audit and inspection software platform operated by Mayvel Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in India (“Company”, “Seyo”, “we”, “us”, or “our”). 

By registering for, accessing, or using the Seyo platform, including any web application, mobile application, APIs, or related services (collectively, the “Platform” or “Services”), you (“User”, “you”) agree to be legally bound by these Terms. 

IMPORTANT NOTICE: 
These Terms contain provisions relating to artificial intelligence outputs, exclusion of warranties, limitation of liability, indemnity, and mandatory arbitration. Please read carefully. 

 2. Definitions 

• “Organization” means the legal entity on whose behalf the User accesses or uses the Platform. 

  
  

• “AI Features” means features powered by artificial intelligence or machine learning models, including checklist generation, report summarisation, and conversational assistance. 

  
  

• “Input” means any data, text, prompts, files, or information submitted by the User to the Platform or AI Features. 

  
  

• “Output” means content generated by AI Features in response to Inputs. 

  
  

• “Customer Data” means all data, documents, reports, media, and information uploaded or generated by the User through the Platform, excluding Platform metadata. 

   

3. Acceptance of Terms 

By creating an account or using the Platform, you represent and warrant that: 

1. You are at least 18 years of age. 

   
   

2. You have the legal capacity to enter into a binding contract; and 

   
   

3. If acting on behalf of an Organization, you have the authority to bind such Organization. 

If you do not agree to these Terms, you must immediately discontinue use of the Platform. 

4. Scope of Services & AI Features 

Seyo provides digital tools for audit planning, inspections, checklist management, reporting, and related workflow automation. 

4.1 AI Assistance 

AI Features are intended solely to assist Users by generating drafts, summaries, or suggestions. They do not replace professional judgment. 

4.2 Beta Features 

Certain features may be designated as “Beta”, provided strictly on an “as-is” and “as-available” basis. Seyo makes no guarantees regarding accuracy, uptime, or continued availability of such features. 

5. User Accounts & Security 

1. Users are solely responsible for maintaining the confidentiality of login credentials. 

   
   

2. All activities conducted through an account shall be deemed to have been authorised by the User. 

   
   

3. Seyo shall not be liable for unauthorised access caused by User negligence. 

   
   

4. You must notify Seyo immediately of any suspected security breach. 

6. Roles, Permissions & Data Processing 

Administrators designated by the Organization control user roles, permissions, and access rights. 

Seyo acts solely as a data processor and does not adjudicate or assume responsibility for internal disputes, authorisation errors, or misuse of access privileges within an organization. 

7. Acceptable Use 

You shall not, directly or indirectly: 

1. Use the Platform for unlawful, fraudulent, or malicious purposes. 

   
   

2. Upload content that is defamatory, infringing, obscene, or harmful. 

   
   

3. Attempt to reverse engineer, exploit, or manipulate AI Features, including “prompt injection” or bypassing safeguards. 

   
   

4. Use automated tools, bots, or scrapers in a manner that disrupts Platform performance or exceeds reasonable usage limits. 

   
   

Seyo reserves the right to restrict, throttle, or suspend access for violations without liability. 

8. Data Ownership & AI Rights 

8.1 Customer Data 

All rights, title, and interest in Customer Data remain with the User or Organization. 

8.2 AI Inputs and Outputs 

As between the parties: 

1. Users retain ownership of their Inputs and Outputs. 

   
   

2. Seyo grants no warranty regarding originality, accuracy, or regulatory compliance of Outputs. 

8.3 No Model Training 

Seyo does not use proprietary Customer Data or Inputs to train foundational AI models for the benefit of third parties. 

9. AI-Specific Disclaimers  

1. Human Verification Mandatory: 
   AI Outputs may contain inaccuracies or omissions. Users must independently verify all Outputs before operational, regulatory, or safety use. 

   
   

2. No Professional Advice: 
   Outputs relating to standards, laws, or safety regulations are informational only and do not constitute legal, engineering, or safety advice. 

   
   

3. Assumption of Risk: 
   Use of AI Outputs is entirely at the User’s risk. Seyo disclaims all liability arising from reliance on AI-generated content. 

10. Subscription, Fees & Taxes 

1. Fees are payable in advance as per the applicable plan. 

   
   

2. Non-payment may result in suspension or termination. 

   
   

3. All fees are exclusive of applicable GST or taxes. 

   
   

4. Payments are non-refundable, except where mandated by Indian law. 

11. Intellectual Property 

11.1 Platform IP 

All intellectual property rights in the Platform, software, workflows, and integrations vest exclusively in Mayvel Technologies Pvt Ltd. 

Users are granted a limited, revocable, non-exclusive, non-transferable licence to use the Platform during the subscription term. 

11.2 Feedback 

Any feedback provided may be freely used by Seyo on a perpetual, royalty-free basis without obligation. 

12. Third-Party Services 

The Platform may integrate third-party services. Seyo does not control and shall not be responsible for third-party acts, omissions, or service failures. 

13. Confidentiality & Privacy 

Personal data is processed in accordance with applicable Indian data protection laws and the Privacy Policy, which forms an integral part of these Terms. 

14. Indemnity 

You agree to defend, indemnify, and hold harmless Seyo, its directors, officers, and employees from any claims, losses, damages, penalties, or expenses arising out of: 

1. Breach of these Terms. 

   
   

2. Misuse or unverified reliance on AI Outputs. 

   
   

3. Infringement or violation caused by Customer Data. 

15. Limitation of Liability 

To the maximum extent permitted under Indian law: 

1. The Platform is provided “as is” and “as available.” 

   
   

2. Seyo disclaims all warranties, express or implied. 

   
   

3. Seyo shall not be liable for indirect, incidental, consequential, or punitive damages. 

   
   

4. Seyo’s aggregate liability shall not exceed the fees paid by the User in the 12 months preceding the claim. 

16. Termination 

Seyo may suspend or terminate access for breach, non-payment, or misuse. Upon termination: 

1. Licence rights cease immediately. 

   
   

2. Data retention and deletion shall be governed by internal policies and applicable law. 

17. Governing Law & Dispute Resolution 

17.1 Governing Law 

These Terms shall be governed by and construed in accordance with the laws of India. 

17.2 Arbitration 

All disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996. 

• Seat & Venue: Chennai, Tamil Nadu 

• Language: English 

• Arbitrator: Sole arbitrator appointed by Seyo 

Courts at Chennai shall have exclusive jurisdiction for interim relief. 

 18. Publicity 

You grant Seyo the right to display your organization’s name and logo for marketing purposes unless opted out in writing. 

19. Amendments 

Seyo may modify these Terms at any time. Continued use after notification constitutes acceptance.

21. Digital Personal Data Protection Compliance  

1. Definitions: 

For the purposes of this Clause, capitalised terms not defined herein shall have the meanings assigned under the Digital Personal Data Protection Act, 2023 (“DPDP Act”). 

• “Personal Data” means any data about an individual who is identifiable by or in relation to such data. 

  
  

• “Data Principal” means the individual to whom the Personal Data relates. 

  
  

• “Data Fiduciary” means the entity that determines the purpose and means of processing Personal Data. 

  
  

• “Data Processor” means an entity that processes Personal Data on behalf of a Data Fiduciary. 

2. Roles of the Parties: 

   
   

   1. Organization as Data Fiduciary: 
      The Organization shall be deemed the Data Fiduciary with respect to all Personal Data uploaded, collected, or processed through the Platform. 

      
      

   2. Seyo as Data Processor: 
      Seyo acts solely as a Data Processor, processing Personal Data only on documented instructions of the Organization and for the limited purpose of providing the Services. 

      
      

   3. Seyo shall not determine the purpose or legality of Personal Data processing undertaken by the Organization. 

      
      

3. Lawful Basis & Consent 

   
   

   1. The Organization represents and warrants that it has obtained valid consent or lawful authority under the DPDP Act for: 

      • Collection of Personal Data. 

      • Processing through the Platform. 

      • Use of AI Features involving such Personal Data. 

2. Seyo shall not be responsible for verifying the validity, scope, or adequacy of such consent. 

   
   

4. Purpose Limitation & Processing 

   
   

   1. Seyo shall process Personal Data: 

      1. Solely for providing, maintaining, and improving the Services. 

      2. In accordance with these Terms and the Organization’s instructions. 

      
      

   2. Seyo shall not sell, disclose, or process Personal Data for independent commercial purposes. 

      
      

5. Data Security Safeguards 

   
   

Seyo shall implement reasonable technical and organisational safeguards, including: 

1. Access controls and authentication mechanisms. 

   
   

2. Encryption of data in transit and at rest (where commercially reasonable). 

   
   

3. Periodic security reviews. 

   
   

4. Seyo does not guarantee absolute security, and the User acknowledges that no system is completely immune from risk. 

6. Data Breach Notification 

   
   

In the event of a personal data breach affecting Customer Data: 

1. Seyo shall notify the Organization within a reasonable time after becoming aware of such breach. 

   
   

2. The Organization shall be solely responsible for: 

   
   

   • Notification to the Data Protection Board of India. 

     
     

   • Notification to affected Data Principals, if required by law. 

7. Data Principal Rights 

   
   

   1. Seyo shall, upon reasonable written request, provide assistance to enable the Organization to: 

      
      

      • Respond to Data Principal requests for access, correction, or erasure. 

        
        

      • Withdraw consent or restrict processing. 

        
        

   2. Seyo shall not directly respond to Data Principal requests unless legally required. 

8. Cross-Border Data Transfers 

   
   

   1. The Organization acknowledges that Customer Data may be processed or stored in jurisdictions outside India, subject to: 

      • Government-notified permitted countries under the DPDP Act; and 

      • Appropriate contractual and security safeguards. 

      
      

   2. By using the Platform, the Organization explicitly consents to such transfers. 

9. Retention & Deletion 

   
   

   1. Personal Data shall be retained only for: 

      • The duration of the subscription; or 

      • As required under applicable law. 

        
        

   2. Upon termination, Seyo shall delete or anonymise Personal Data in accordance with: 

      • Its data retention policy; and 

      • Statutory obligations. 

10. AI & Personal Data 

    
    

    1. AI Features may process Personal Data strictly as Input for generating Outputs. 

       
       

    2. AI Outputs are not guaranteed to be accurate, complete, or compliant. 

       
       

    3. The Organization remains solely responsible for: 

       
       

       • Lawful use of AI Outputs involving Personal Data; 

         
         

       • Ensuring Outputs do not violate privacy, employment, or safety laws. 

11. . Compliance Cooperation 

Each party shall reasonably cooperate with the other to demonstrate compliance with the DPDP Act, including responding to lawful regulatory requests.
